Welcome to Sqwabl Inc. ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our websites, mobile applications, online platforms, and services (collectively, the "Services"). By using or accessing our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.
1. Eligibility
You must be at least 16 years old to use Sqwabl. By accessing or using the app, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
2. Use of Our Services
You agree to use only for lawful purposes and in compliance with all applicable laws, rules, and regulations. You agree not to:
- Use the app in any way that could damage, disable, overburden, or impair them.
- Attempt to gain unauthorized access to any portion of the app or any other systems or networks connected to the app.
- Use any automated system, including bots or scripts, to access the app without our prior written permission.
- Upload or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
3. Account Registration and Security
To access certain features of the app, you may need to register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials and notify us immediately of any unauthorized use or breach of security.
- Be responsible for all activities that occur under your account.
4. Intellectual Property
All content, features, and functionality of the app, including but not limited to text, graphics, logos, images, software, and trademarks, are owned by or licensed to Sqwabl Inc. and are protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Services without our prior written consent.
5. User Content
If you submit content such as comments, photos, or other materials through our Services, you grant Sqwabl Inc. a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of operating and promoting the app.
You represent and warrant that you own or have the necessary rights to submit such content and that it does not violate these Terms or applicable law.
6. Disclaimers and Limitation of Liability
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Sqwabl Inc. does not guarantee that the app will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Sqwabl Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the app.
7. Indemnification
You agree to indemnify and hold harmless Sqwabl Inc., its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your violation of these Terms or your misuse of the app.
8. Termination
We reserve the right to suspend or terminate your access to the app at any time, without prior notice or liability, for conduct that we believe violates these Terms or is harmful to other users or the Company.
9. Changes to Terms
We may update these Terms from time to time to reflect changes in our practices or legal requirements. When we do, we will update the "last updated" date at the top of the Terms page and notify you as appropriate. Your continued use of the app after any changes constitutes your acceptance of the new Terms.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association, with the arbitration conducted in the State of Delaware.
10. Prohibited and Objectionable Content
Sqwabl Inc. does not permit content or behavior that is harmful, offensive, or otherwise objectionable. By using the Services, you agree not to create, upload, post, transmit, or otherwise make available any content that:
- Is illegal, fraudulent, or promotes unlawful activity
- Is sexually explicit, pornographic, or intended to arouse sexual interest
- Contains hate speech, harassment, threats, or discrimination based on race, ethnicity, nationality, religion, disability, gender, sexual orientation, or other protected characteristics
- Promotes violence, self-harm, suicide, or physical injury to persons or property
- Is defamatory, libelous, or knowingly false
- Invades another person’s privacy or violates publicity or data protection rights
- Contains malware, spyware, or other harmful code
- Exploits or endangers minors in any way
We reserve the right, but are not obligated, to review, monitor, remove, or restrict access to any content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable, without prior notice.
Users may report objectionable content through the app. Sqwabl Inc. will review reports and take appropriate action, which may include content removal, account suspension, or account termination.
